Board Minutes – March 2024

CVNA March 11, 2024 Minutes

Attendance: Missy Q, Melissa R, Jeannie S, Steve S, Jessica N, Karla B, Terri J, and Allison W (on phone).

-5:34pm called meeting to order

-February meeting minutes approved: 1st Jeannie S, 2nd Karla B.

Treasurer Report

-1 unpaid property dues (Berry Thomas, 5450 Lost Canyon Dr.), lien will be placed on property

-Insurance increase will be up by 36% this year

ACC:

-none

Covenant violation:

-5430 Lost Canyon Dr. (trash cans being left on street), letter sent

-1680 Warwick Hills (unkept yard), letter sent

Old Business:

Reminder that board members are required to attend 8 regularly scheduled meetings.

-letter mail outs for board approved changes to bi-laws in section 4 (280 letters at Conway Copies)

-Tuesday, April 16th from 6-9pm at McGee Center, questions will be heard about changes 

-voting will take place Monday, May 13th (proxy votes will be taken)

New Business:

-get a quote to fix/upkeep sprinklers in neighborhood

-April 8th from 11am-2pm see if food trucks are available for a fun neighborhood gathering (families will pay)

Board Minutes – February 2024

CVNA Feb 15, 2024 Minutes

Attendance: Missy Q, Melissa R, Jeannie S, Alan K, Steve S, Jessica N, David M, Karla B, Allison W, Terri J, and Skylar A.

-5:50pm called meeting to order

-January meeting minutes approved: 1st Melissa R, 2nd Alan K

Treasurer Report

-3 unpaid property dues

ACC:

-none

Covenant violation:

-5430 Lost Canyon Dr. (trash cans being left on street)

Old Business:

Reminder that board members are required to attend 8 regularly scheduled meetings.

-A motion was made to amend and remove dollar amounts for the yearly due approved: 1st Melissa R, 2nd Jeannie S  

New Business:

-Dues committee will meet in the next two weeks to discuss wording for door hangers, possibly other forms of communication (MailChimp, door hangers, door to door, Facebook, ect.) approved: 1st Missy Q, 2nd Melissa R

-In January meeting/notes: Raising Dues: motion to raise dues 1st Jeannie S, 2nd Steve S, all board members in favor of raising dues, mark your calendar for April 16 meeting for voting to raise dues

2024 Bylaws & Dues Proposed Changes

May 21, 2024

The Board of Directors would like to thank everyone who attended the special meetings, voted, offered feedback and for your overall support!!!  

Here are the results:

The Board of Directors proposed three recommendations to be voted on at the May 2024 Membership meeting.  The recommendations were in summary as follows:

  1. Correcting the over specific and conflicting provision in the by-laws (Article iii sec 4)
  2. Grant BOD authority to raise or decrease dues by 10% once every five year period if necessary. 
  3. Dues increase to $300.

Quorum was met and all three proposals PASSED by a 2/3rd vote as follows:

Total of 128 votes

  1. PASSED 84%
  2. PASSED 67%
  3. PASSED 80%

Dues will now be $300 effective immediately.   The BOD will contact the attorney to have the by-laws amended as proposed.  The amended by-laws will be filed with the state and updated on our website.

Our Annual meeting will be held in August, we are looking into different locations and dates. We will update everyone as soon as possible.  

Again, thank you to the Membership for voting and supporting the Board’s efforts in keeping CENTENNIAL VALLEY NEIGHBORHOOD the best one in Conway!

2024 Bylaws & Dues Proposed Changes

MEETING

We had a meeting on Tuesday, April 16th where we shared background information on why we are wanting to change the above.  Here is a link to some of the info we shared at that meeting:

You will be able to vote until end of day May 13.

There are THREE WAYS to VOTE:
  1. Go to CVNA BALLOT EVOTE LINK and vote electronically.
  2. Come to our special meeting on May 13, 2024 at 6:00 PM at the McGee Center and vote in person.
  3. Request a paper ballot from the board, and we can drop one off for you to your home.  You can bring to the special meeting or vote by proxy if you cannot attend.

 

THE PROPOSED CHANGES:

PROPOSED CHANGES

BYLAWS VOTE:
1. AMEND BYLAWS: AMEND ARTICLE III, SECTION 4
The current Bylaws indicate a set dollar amount as the rate of annual dues. The Board of Directors proposes a vote to amend this provision to remove any specific monetary figure. Currently as written, the Bylaws are too specific and restrictive on this matter and require amending every time dues are increased or decreased. The proposed change is as follows:

CURRENT BYLAW PROVISION:

Section 4. Annual Dues Amount.

The annual dues, as determined in accordance with Article III, Section 1, shall be $550.00 for the first year for a homeowner and $250.00
each year thereafter. The annual dues for a vacant lot owner shall be $250.00. The annual dues shall be paid by the first of October for the upcoming year. The dues, which shall become payable upon the first of October following the transfer of a lot shall be due and payable at the closing of said lot. If the purchaser at closing is buying a vacant lot, said purchaser has the option of paying the $550.00 homeowner’s dues at closing, or paying the lot owner’s dues at closing and delaying the $550.00 payment until the October following their moving into the home.

PROPOSED BYLAW PROVISION:

Section 4. Annual Dues Amount.

Annual dues shall be determined in accordance with Article III, Section 1. The current rate of Annual Dues will be available on the CVNA website, on record at most local title companies, and by contacting the CVNA President, Vice President or Treasurer.

Summary:
The current language in the Bylaws is too specific and requires a recorded/filed Bylaw amendment for any change in dues or fees. This recommended amendment removes the specific money figure in the Bylaws, allowing a vote for a change without amending the bylaws. All changes in dues would still have to be approved by a membership vote, as required by the Bylaws.


2. AMEND BYLAWS: AMEND ARTICLE III, SECTION I
The Board of Directors proposes an amendment to the Bylaws to grant the Board authority to make a one-time increase in annual dues every five years, when deemed necessary, providing the increase no more than ten percent (10%). The proposed change is as follows:

CURRENT BYLAW PROVISION:
Section 1. Annual Dues.

The Board of Directors will recommend to the Association the annual dues of the Association. This recommendation must be approved by a majority of
the membership present or by proxy at the annual meeting. Majority being defined as fifty percent (50%) plus one. There are no discounts for prepayment.

PROPOSED BYLAW PROVISION:
Section 1. Annual Dues.

The Board of Directors will recommend to the Association the annual dues of the Association. This recommendation must be approved by a majority of
the membership present or by proxy at the annual meeting. Majority being defined as fifty percent (50%) plus one. Once every five-year period, the Board of Directors shall have the authority to vote to increase annual dues without the vote of the membership, providing said increase is no more than ten percent (10%). There are no discounts for prepayment.

Summary:
This amendment gives the Board of Directors authority to increase or decrease CVNA dues one time every five years without a membership vote, as long as the increase is not more than 10%.


GENERAL VOTE:

3. RAISE CVNA ANNUAL DUES.
Current CVNA dues are $250.00 annually. The Board of Directors requests an increase of $50.00 for a total annual dues of $300.00 (effective for upcoming dues).

Summary:
This vote is a general business vote (not a bylaws change) to raise dues to three-hundred dollars ($300) effective next due date. This is a fifty dollar ($50) increase.
